A. Appointment: The city water and energy services board shall consist of five (5) members to be appointed by the mayor, with the approval of the city council, for the terms, at the salaries, and with the powers and duties hereinafter provided.

B. Term; Compensation: The present board members as constituted on the effective date hereof shall continue to serve for the terms to which they were previously appointed, except that each term shall be considered as ending on December 31 of the year in which the term would otherwise expire. One of the two (2) new members shall be appointed for an initial term ending December 31, 1989, and the other member shall be appointed for an initial term ending December 31, 1991. All appointments shall be for a term of five (5) years. Each member of the board shall be compensated for the performance of those duties required herein in an amount to be determined from time to time by the mayor and city council. In addition, members shall be reimbursed for expenses incurred in carrying out their duties, including reasonable travel and other expenses necessarily expended on behalf of the city while on board business outside of the city.

C. Qualifications; Organization: To be eligible for appointment to the water and energy services board, the candidate shall be a citizen of the United States, the state and a resident taxpayer of the city. The candidate must be of good character and possess qualifications necessary for the administration of affairs connected with the efficient management of the water and energy systems of the city. The appointed members of the board shall annually designate a chairperson and secretary and, at the request of the mayor and city council, may make recommendations regarding candidates to fill the position of power and water director. The board shall also make recommendations to the mayor and city council, through the city manager, regarding employment of additional personnel as may be necessary from time to time to carry out the duties of the water services and energy services departments. The board shall hold public meetings at least once a month at the city office building at an evening hour to be designated by it, and all members shall attend such meetings; provided, however, that three (3) members of the board shall constitute a quorum and may transact business of the board, provided any formal action or recommendation by the board shall require the unanimous vote of at least three (3) members. The city council shall afford business quarters suitable for meetings and other business of the board. Any member of the board who fails to discharge the duties of the office hereby created, by failing to attend meetings or otherwise, or for other sufficient cause, may be removed from office by the council and a new member appointed forthwith for the unexpired term. D. Powers And Duties Of Board: The water and energy services board shall be responsible to the city council for the following duties:

1. To act as an advisory body to the city council and make recommendations to the city manager, mayor and city council concerning the water and energy systems. Board recommendations shall be in written form and submitted to the city manager for review and presentation to the mayor and city council for their consideration.

2. The board shall have the following duties:

a. To advise the city administration, the mayor and city council on long range planning for power generation and distribution, addressing future power needs and necessary physical facilities to meet those needs;

b. To advise the city administration, the mayor and city council on long range planning for water needs and necessary physical facilities to meet those needs;

c. To render advice on proposed capital expenditures;

d. To make recommendations to the mayor and city council concerning electricity and water rates and charges;

e. To review the monthly financial reports and operating reports of the water services and energy services departments and, where appropriate, provide advice and a recommendation to the city manager, the mayor and city council with respect to the same;

f. To review the proposed budget for the water services and energy services departments and submit comments and recommendations to the city manager for review, modification and submittal to the mayor and city council for their consideration;

g. To advise the city administration, the mayor and city council on other services or programs as developed or provided by national and state organizations, such as APPA, AWWA, UAMPS, etc. (Ord. 2001-01-001, 1-18-2001; amd. Ord. 2003-02-002, 2-20-2003; 2003 Code)
